1.1` Who we are. We are Morris Commercial Ltd, Company. No. 09856196, a limited liability company incorporated under the laws of United Kingdom with registered address at Eco Campus, Station Road, Hinton-On-The-Green, WR11 2QU (‘We’, ‘us’).

1.3 How we may contact you. If we have to contact you, we will do so by telephone or by emailing you at the email address you provide to us in your Build Slot Reservation (defined below).
- Introduction of Terms
2.1 A Build Slot Reservation is a preliminary, non-binding Reservation that entitles you to be a prioritised customer when the Morris JE is launched for sale in your selected country. We will make reasonable efforts to ensure that you will be able to finalise your order for a Morris JE.
2.2 What these terms cover. These are the terms and conditions (“Terms”) on which you are able to make a Build Slot Reservation of one (1) or more Morris JE van’s (“Build Slot Reservation”). We recommend that you print a copy of these Terms or save them to your computer for future reference.
2.3 Please note that these Terms only apply to the Build Slot Reservation and are not applicable in the event you, in the future, finalise your order of a Morris JE. The final order and purchase of Morris JE will be governed by separate terms and conditions.
- Our contract with you
3.1 By finalising the online Build Slot Reservation and checking the box confirming your acceptance of these Terms, you acknowledge and confirm that you have read and agree to be bound by these Terms.
3.2 If you are unable to accept these Terms, you will unfortunately not be able to make the Build Slot Reservation
3.3 You may make a Build Slot Reservation online via our digital channels.
3.4 Email confirmation. We will send you a Build Slot Reservation certificate, confirming that your reservation has been received and completed (“Build Slot Reservation Acknowledgement”). However, the Build Slot Reservation Acknowledgement is not an acceptance of your Build Slot Reservation.
3.5 The Build Slot Reservation Acknowledgement will contain the Build Slot Reservation number given to you during your online application for a Build Slot Reservation. Please check the Build Slot Reservation Acknowledgement number matches your application and bank transfer reference number, as this reference shall be used when you have the opportunity to finalise your Reservation and turn it into an order.
3.6 How we will accept your Build Slot Reservation. Receipt of your payment for the reservation fee (as defined in Section 5 below) is not our acceptance. Our acceptance of your Build Slot Reservation will take place when we email you to accept it, at which point a contract will come into existence between you and us.
3.7 If we cannot accept your Build Slot Reservation. If we are unable to accept your Build Slot Reservation, our Customer Services team will contact you and we will inform you of this in writing and will not charge you for the Build Slot Reservation.
3.8 Your Build Slot Reservation number. We will assign your Build Slot Reservation number to your Build Slot Reservation and will confirm it when we accept your Build Slot Reservation. It will help us if you can tell us the Build Slot Reservation number whenever you contact us about your Build Slot Reservation.
3.9 If during normal working hours Monday to Friday, you do not receive the Build Slot Reservation Acknowledgement within twenty-four (24) hours of completing the payment process, please contact our customer support by following the instructions on https://www.morris-commercial.com/contact-us/.
3.10 If you are a business customer and require an invoice, please contact our customer support by following the instructions on https://www.morris-commercial.com/contactus/
3.11 We recommend that you print a copy of these Terms or save them to your computer for future reference.
- The right to place a Build Slot Reservation
4.1 You must be at least 18 years of age and ensure that all the details you provide to us are accurate.
4.2 The invitation to make a Build Slot Reservation is available until we disable the Build Slot Reservation functionality in our digital channels.
4.3 If you would like to make a Reservation for more than ten (10) Morris JE build slots, please contact us at: business@morris-commercial.com.
4.4 Your rights with respect to the Build Slot Reservation are personal and may not be assigned or transferred to anyone else.
4.5 You warrant and represent that you are not a person, or acting on behalf of a person, designated on any sanctions list imposed by the UK, UN, EU or US. If at any time these representations fail to be true, your Build Slot Reservation will automatically terminate with immediate effect, without any liability to compensate you whatsoever. Furthermore, according to law we may not be able to repay your Build Slot Reservation Fee.
4.6 Morris Commercial and its affiliates sell vehicles directly to end-users, and ask any individuals or companies wishing to resell the vehicle to email business@morris-commercial.com. We may unilaterally cancel any Build Slot Reservation or order that we believe has been made with a view toward resale of the vehicle (including if, your Vehicle has not been registered within 14 days after delivery) or that has otherwise been made in bad faith.
- The Reservation Fee
5.1 Please note that we collect a refundable 1,000 GBP Reservation Fee (the “Reservation Fee”) in order for the Build Slot Reservation to be processed. The Build Slot Reservation, as set out above, is free of VAT. This means we will not charge you any VAT in relation to this Reservation Fee, and there is thus no VAT to reclaim on the Reservation Fee payable to us, due to the fact that it is a refundable Reservation Fee. We will hold the Reservation Fee separately in a designated account. The refund amount will be subject to transaction fees.
5.2 The Reservation Fee is payable by direct bank transfer to the bank details issued after you have confirmed your Reservation.
5.3 When finalising your Morris JE order, the Build Slot Reservation Fee can be used as a partial payment for that order.
5.4 You do not have a right to collect interest on the Reservation Fee.
- Right of cancellation and refund
6.1 You have the right to cancel your Build Slot Reservation at any time and for any reason. If you wish to cancel the Build Slot Reservation, please contact Customer Support by following the instructions on https://www.morris-commercial.com/contact-us/
6.2 We are also entitled to cancel the Build Slot Reservation made by you at any time. Upon a cancellation initiated by us, you will be contacted.
6.3 If your Build Slot Reservation is cancelled for any reason, either by you or us, your Build Slot Reservation Fee will be refunded to the account used by you to pay the Build Slot Reservation Fee. We will process your cancellation without undue delay, and in no event no later than fourteen (14) days after we receive the cancellation notice. Upon cancellation, you will no longer be able to use the Build Slot Reservation number.

- Disclaimer of warranties
8.1 We do not warrant or guarantee you the right to purchase a Morris JE, despite you having completed this Build Slot Reservation and paid the Build Slot Reservation Fee.
8.2 Specifications and images of the Morris JE are not to be considered as specifications of the final Morris JE.
8.3 All images displayed on the Morris Commercial website are for illustrative purposes only and are not to be considered as specifications of the Morris JE.
8.4 Full and final specifications will be made available to you prior to the Build Slot Reservation becoming a full order.
- Limitation of liability
9.1 In no event shall we, or any of our respective affiliates be liable or responsible for any loss or damage of any kind arising out of or in connection to your Build Slot Reservation (except as may be required under law), including (without limitation hereto) any failure to perform, or any delay in performance of your Build Slot Reservation. Your sole and exclusive remedy related to your Build Slot Reservation is limited to the refund of your Build Slot Reservation Fee.
9.2 Your rights and remedies under these Terms are in addition to your rights and remedies implied by statute and common law.
9.3 You are not allowed to transfer any unfulfilled obligations to a third party without Our prior written consent.
- Other important terms
- 1 We may assign or transfer our rights and obligations to another organisation, but this will not affect your rights or our obligations under these Terms. We will always notify you in writing or by posting on the Morris Commercial website if this happens.
10.2 Your use of our website is also governed by the other terms and conditions on the site, including “Privacy,” “Legal” and “Cookies.” Please take the time to read these, as they include important terms which apply to you.
- 3 If we have to contact you or give you notice in writing, we will do so by phone, email or by pre-paid post at the contact details you provide to us during the online Build Slot Reservation process.
- Amendments
We may revise these Terms from time to time but will in such event provide you with relevant information of the amended Terms first. If you do not agree to the changes, you are always entitled to cancel the Build Slot Reservation.

- Applicable law and jurisdiction
13.1 Unless otherwise required by law, these Terms are subject to the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute or controversy arising out of or in connection with these Terms.
